Legal Counsel – Corporate M&A

About the role

Bending Spoons is looking for a Legal Counsel to join its Corporate M&A team. You will work on cross‑border acquisitions, financing transactions, and the creation of legal tools that support the company’s rapid growth.

Key responsibilities

• Support cross‑border acquisitions by conducting due diligence, drafting transaction documents, and assisting with post‑completion integration.
• Advise on debt and equity financing, investments, and equity‑plan instruments in collaboration with the Finance team.
• Draft, review and negotiate commercial contracts—including confidentiality, consulting, licensing, SaaS and other technology agreements—while managing risk.
• Create and maintain scalable legal tools such as forms, playbooks, and AI‑powered workflows.
• Monitor legal and regulatory developments and proactively identify opportunities to add value.

Required profile

• Strong analytical and reasoning ability; capable of solving complex problems from first principles.

• Team‑oriented attitude, willing to support the best ideas and collaborate transparently.
• Fluent written and spoken English.
