Legal Counsel

About the role

The Legal Counsel provides high‑quality legal and commercial advice for the Integrated Retail Portfolio (IRP). Reporting to the Vice President‑Legal and Corporate Secretary, the role is central to structuring deals, assessing transactional risk, and ensuring compliance with regulatory requirements.

Key responsibilities

• Deliver accurate and timely legal advice and contract support for business activities.
• Identify, assess and mitigate legal risks, disputes and liabilities.
• Support negotiations and draft, review, and negotiate commercial and corporate contracts and ancillary agreements.
• Collaborate with HR, Strategy, Tax, Finance, Insurance and other operational teams to balance risk and reward.
• Provide corporate secretarial support, including governance, compliance and regulatory filings.
• Maintain registers, spreadsheets and records in line with legal requirements.
• Interact with external authorities such as BIR, Stamp Duty and Commissioners of Affidavits when required.

Required profile

• Strong commercial judgement and business acumen.
• Excellent contract drafting, review and negotiation abilities.
• In‑depth knowledge of corporate and commercial law, regulatory compliance and governance.
• Ability to identify, assess and manage legal, commercial and transactional risk.
• Strategic thinker capable of balancing risk and reward.
• Advanced legal research, analytical, problem‑solving and decision‑making skills.
• Effective influencing and advisory skills for stakeholders.
