Manager, SPA Financial Advisor (M&A)

About the role

PwC Spain, the top financial advisor for M&A deals in Spain, is looking for a Manager to join the SPA (Sales and Purchase Agreement) Financial Advisor Team in Madrid. The SPA team is part of the Transaction Services practice within the Deals solution, has advised on more than 200 deals in the last five years for corporate and private equity clients, and offers global financial services with opportunities for mid-term secondments.

Key responsibilities

• Advise on the purchase price and the financial matters of the SPA, from pre-deal to post-completion.
• Recommend the preferred pricing mechanism, such as locked box versus completion accounts.
• Analyse key items in price negotiations, including debt, cash and working capital, by comparing buyer and seller views.
• Determine financial parameters such as target working capital, cash, restricted cash and net debt.
• Advise on the preparation of completion accounts and help understand the post-completion process.
• Act as an independent expert in disputes between buyer and seller over completion accounts.

Required profile

• Degree in Business, Economics or Engineering.
• Fluent in English and Spanish; day-to-day work is mainly in English.
• 5 years of experience in financial due diligence or audit, with demonstrable end-to-end M&A deal experience on both buy- and sell-side.
• Strong analytical skills, commercial awareness and interpersonal skills.
• International experience is a plus.
