Manager – Transaction Services SPA (Sales & Purchase Agreement)

About the role

PWC Spain is looking for a Manager to join its SPA (Sales and Purchase Agreement) Financial Advisor team in Madrid. The role supports corporate and private‑equity clients throughout the full M&A lifecycle, from purchase‑price advice to post‑closing review.

Key responsibilities

• Provide end‑to‑end deal assistance, advising on purchase price and SPA financial matters.
• Recommend pricing mechanisms (locked‑box vs. completion accounts) and analyse key negotiation items.
• Determine financial parameters such as target working capital, cash, net debt, and working capital adjustments.
• Prepare and review completion accounts and support the post‑completion process.
• Act as an independent expert in disputes over completion accounts between buyers and sellers.

Required profile

• Degree in Business, Economics, Engineering or related field.
• Fluent in English and Spanish (day‑to‑day work primarily in English).
• 5+ years of experience in financial due diligence or audit with full‑cycle M&A exposure (buy‑ and sell‑side).
• Strong analytical, commercial awareness and interpersonal skills.
• International work experience is a plus.
