Corporate Legal Lawyer

About the role

NTT DATA is seeking a Generalist Corporate Legal Lawyer to provide in‑house legal support for its global operations. The role involves advising on corporate governance, managing M&A transactions, and coordinating with internal and external stakeholders across multiple jurisdictions.

Key responsibilities

• Provide day‑to‑day advice on corporate governance, entity formation, and ongoing management for Group companies in domestic and international markets.
• Draft, review, and maintain corporate documentation such as bylaws, board and shareholder resolutions, powers of attorney, and certificates throughout the corporate lifecycle.
• Coordinate and oversee local counsel in relevant jurisdictions and ensure consistent global corporate housekeeping, leveraging AI tools where appropriate.
• Identify legal risks and support the structuring of international M&A and corporate restructuring transactions.
• Lead legal due diligence, draft and negotiate transaction documents (SPAs, SHAs, NDAs, LOIs) and support closing and post‑closing activities.
• Collaborate cross‑functionally with Finance, Tax, HR, and Business teams, communicating risks and legal options to facilitate decision‑making.
• Contribute to global initiatives aimed at standardising legal processes, templates, and best practices.

Required profile

• Qualified lawyer with solid knowledge of commercial and corporate law.
• Experience in M&A transactions (investment agreements, share/asset purchase, shareholders’ or joint‑venture agreements) and/or corporate restructuring (mergers, demergers, spin‑offs).
• Background in a law firm or an in‑house legal department.
