Legal Counsel – Technology & Startup

About the role

Semidynamics is seeking a Legal Counsel who is passionate about technology, law, and continuous growth. Reporting to the VP Legal, you will work closely with cross‑functional teams, providing practical, business‑oriented legal advice in a fast‑paced, innovative scale‑up environment.

Key responsibilities

• Corporate: Prepare legal communications, manage share transfers, support corporate restructuring, coordinate board meetings and filings with notaries and external counsel.
• Contracting: Draft, review and negotiate NDAs, MOUs, LOIs, commercial agreements, service agreements and supplier contracts; maintain contract records and standardize templates.
• Intellectual Property: Coordinate patent and trademark registrations, support IP‑sensitive agreements and maintain the IP portfolio.
• Export Control & Sanctions: Advise on EU, US and international export regulations, build classification frameworks and work with technical teams on product classification.
• Compliance: Keep the Code of Conduct and global policies up to date, monitor regulatory developments (GDPR, AI Act, sanctions) and deliver compliance training.
• Legal Support: Provide clear legal guidance to Sales, HR, Operations, Marketing, Engineering and Finance, identifying and mitigating legal risks.
• Digital Tools & Automation: Use AI tools (e.g., Claude) to automate contract review, NDA drafting, document classification and legal research.

Required profile

• Hands‑on professional with a digital mindset and ownership attitude.
• Comfortable working in a high‑growth, scale‑up environment.
• Ability to collaborate with cross‑functional teams and communicate legal concepts in business terms.
• Experience managing corporate, commercial, IP and compliance matters.

Required skills

• Proficiency with AI‑driven legal automation tools (e.g., Claude).
