Legal Manager – Private Equity Investment

About the role

ARCHIMED is seeking a Legal Manager to join its growing legal team in Lyon. The role is aimed at a high‑calibre lawyer who can independently manage a diverse portfolio that includes fund formation, M&A transactions, and corporate governance for a leading healthcare‑focused private equity firm.

Key responsibilities

• Draft, review and negotiate a variety of commercial contracts across multiple jurisdictions.
• Prepare and advise on early‑stage transaction documents such as NDAs, Letters of Intent and Term Sheets.
• Support due‑diligence processes and provide value‑added legal input on selected topics.
• Review engagement letters with advisors to safeguard ARCHIMED’s interests and identify legal and regulatory risks.
• Offer legal advice on investment opportunities and existing portfolio companies, highlighting key risks for senior investment teams.
• Assist functional managers and committees with contract reviews and risk assessments.

Required profile

• Qualified lawyer with experience in fund formation, M&A and corporate governance.
• Proven ability to work autonomously and manage a full legal workstream.
• Background in top‑tier private practice or equivalent in‑house private‑equity environment.
• Strong understanding of legal and regulatory frameworks relevant to healthcare investments.
