Senior Associate – Transaction Services (SPA)

About the role

PWC Spain is looking for a Senior Associate to join its SPA (Sales and Purchase Agreement) Financial Advisor team in Madrid. The role supports corporate and private‑equity clients throughout the full M&A transaction lifecycle, from purchase‑price advice to post‑closing review.

Key responsibilities

• Provide recommendations on pricing mechanisms such as locked‑box versus completion accounts.
• Identify and analyse key items in price negotiations, including debt, cash and working‑capital adjustments.
• Determine financial parameters (target working capital, net debt, cash, restricted cash, etc.) and advise on their impact.
• Assist in the preparation and review of completion accounts and support the post‑completion process.
• Act as an independent expert in disputes between buyers and sellers regarding completion accounts.

Required profile

• Degree in Business, Economics or Engineering.
• Fluent in English and Spanish; day‑to‑day work will be primarily in English.
• 3–4 years of experience in financial due diligence or audit.
• Strong analytical ability and commercial awareness.
• International work experience is a plus.
