Legal Manager – Investment Firm

About the role

ARCHIMED, a leading healthcare‑focused investment firm, is expanding its legal team in Lyon. The Legal Manager will independently handle a broad portfolio that includes fund formation, M&A transactions, and corporate governance matters supporting the firm’s investment activities.

Key responsibilities

• Draft, review and negotiate commercial contracts across multiple jurisdictions.
• Prepare and advise on early‑stage transaction documents such as NDAs, letters of intent and term sheets.
• Support due‑diligence processes and provide value‑added legal analysis on selected topics.
• Review engagement letters with advisors to protect ARCHIMED’s interests and identify regulatory risks.
• Offer legal counsel on investment opportunities and existing portfolio companies, highlighting key legal and regulatory issues.
• Assist functional managers and committees with contract reviews and risk assessments.

Required profile

• Qualified lawyer with experience in private practice or in‑house private‑equity environments.
• Proven ability to work autonomously on complex, multi‑jurisdictional matters.
• Strong understanding of fund formation, M&A, and corporate governance.
• Excellent analytical and communication skills in English.
