M&A Lawyer – International Transactions (Madrid)

About the role

We are seeking a senior M&A lawyer to lead the execution of our client’s inorganic growth strategy, with a primary focus on the United States market. The role will be based in Madrid and will report to the Global Legal Department, providing both transactional leadership and day‑to‑day legal support for U.S. subsidiaries.

Key responsibilities

• Lead end‑to‑end M&A transactions, including structuring, drafting and negotiating NDAs, LoIs and SPAs, and managing closing and post‑acquisition integration.
• Provide daily legal advice to U.S. subsidiaries, reducing reliance on external counsel.
• Coordinate multi‑jurisdictional due‑diligence processes and ensure contractual mitigation of identified risks.
• Select, supervise and challenge major international law firms to optimise legal spend.
• Manage corporate governance for international subsidiaries and negotiate shareholders’ agreements in joint ventures and infrastructure consortia.
• Support international tenders and complex EPC/O&M contracts under Anglo‑Saxon law.
• Ensure compliance with foreign‑investment and national‑security regulations.

Required profile

• Law degree and admission to the Spanish Bar.
• 6–12 years of experience, including 3–5 years in a top‑tier law firm (M&A/Corporate) and subsequent in‑house experience in the energy or infrastructure sector.
• Proven track record working with international markets, especially the United States.
• Fluent English (C2) with strong legal negotiation capabilities.
